Cyber-Risk Oversight 3.0
Directors have been bombarded with the message that managing cyber-risk is a board level issue and one of strategic importance to the business. There are a wide variety of resources available to help directors exercise their responsibilities in this critical area. The purpose of this program is to go to the next level of detail and provide directors with the ability to dig a bit deeper into some of the current cybersecurity issues.
By the end of this program, directors will be prepared to ask appropriate questions of management teams and most importantly have the context and background to understand the answers.

Major General (Retired) Brett Williams
Brett Williams is a co-founder of IronNet Cybersecurity, Inc. IronNet is developing a cybersecurity product based on detecting anomalous behavior using behavioral modeling and big data analytics. His division provides a variety of managed security services and client security assessments as well as training, testing and certification for network security personnel. Brett is also responsible for product, enterprise and physical security at IronNet.
During his time as an Air Force General Officer, Brett served in four senior executive leadership positions. As the Director of Operations (J3) at U.S. Cyber Command, he led a team of 400 people responsible for the global operations and defense of all DOD networks as well as the planning and execution of authorized offensive operations. Prior to this position, he served as Director of Operations (A3O), U.S. Air Force, where he led the largest Air Staff directorate consisting of more than 1300 Airmen and civilians stationed world-wide. In this role, he developed and justified the operations component of the annual $120B Air Force budget. General Williams also served as the Director of Communications (J6) for U.S. Pacific Command. His 150-person directorate executed an annual budget of $57M and was responsible for the design, implementation and operation of all command and control networks supporting DOD’s largest geographic warfighting command. Finally, as the Inspector General for Air Combat Command, he led the inspection, audit and compliance process for all U.S based combat flying organizations.
Operationally, General Williams led a variety of large, complex organizations ranging in size from 300 to over 9000 personnel. In his most significant leadership position as 18th Wing Commander in Okinawa, Japan, he led the largest combat wing in the Air Force. General Williams was responsible for relationships with Japanese political and business leaders in a highly volatile community environment. He executed an annual budget in excess of $100M to support a community of over 25,000 U.S. service members, their families and Japanese employees. In this significant leadership role, he delivered success across a wide variety of mission areas to include aircraft operations, aircraft maintenance, logistics, civil engineering, security and policing, community support, human resources, financial management and medical services. Brett is an F-15C fighter pilot with over 28 years of flying experience, including more than 100 combat missions.
Brett is a faculty member with the National Association of Corporate Directors Board Advisory Services and teaches cyber-risk seminars to corporate boards. He is a Task Force Member on the Defense Science Board: Cyber as a Strategic Capability. He serves on the Advisory Board for Ciena Government Solutions Inc. and is Chairman of the Advisory Board for the Duke University School of Nursing. He is a professional keynote speaker with several national speaker bureaus. Brett holds a BS in Computer Science from Duke University and three graduate degrees in management and national security studies.
Gerald M. Czarnecki
Mr. Czarnecki (Gerry) is Chairman & CEO of The Deltennium Group, Inc., a consulting practice helping individuals and organizations with effective strategic marketing, managerial leadership and board governance. Prior to forming The Deltennium Group, Mr. Czarnecki was Chairman and Founder of Snowden Hill, a boutique investment bank focused on investments in the retail industry. As an entrepreneur, he has founded and operated several consumer marketing organizations, and continues to this day with investments in retail marketing.
He is a member of the board of directors of several companies: Jack Cooper Enterprises, where he is Chair of the Audit Committee; ECO Building Products, where he is Chairman of the Board and member of the board of NuraHealth, Inc. RFD & Associates, Inc, where he is Chair of the Audit Committee & Chair of the Compensation Committee. He is also a former, 15-year director of State Farm Insurance, where he served as member of the company Executive Committee, and was also Chairman of the Audit Committee; State Farm Bank, where he was Chair of the Compensation Committee, and State Farm Fire & Casualty companies;
Mr. Czarnecki has had a varied corporate career where he has increased shareholder value through enhanced marketing and operational performance. He has been a General Manager, Chief Marketing Officer, Chief Financial Officer, Chief Administrative Officer, Chief Operating Officer and Chief Executive Officer in a variety of industries from consumer marketing to financial services to aviation to technology to media and TV production.
Mr. Czarnecki held a number of executive positions in the banking and financial services industry including General Manager of the 4th largest bank Trust Department in the country; CFO of the 8th largest bank holding company; the CEO of a large, publicly held bank and another large privately held bank owned by an investor group headed by former Secretary of the Treasury, William Simon. In 1993 Mr. Czarnecki was part of the team recruited by Louis Gerstner to begin the turnaround of IBM Corporation. Serving as an IBM Senior Vice President, Mr. Czarnecki had worldwide responsibility for customer focused quality initiatives, human resources, real estate services, quality programs, nonmanufacturing procurement, aviation and a wide range of other staff functions. Later he was President of UNC, Inc., a NYSE aviation company, which manufactured aircraft engine parts, repaired and overhauled aircraft engines and accessory components and provided significant outsourcing services to the US military.
In addition to his leadership responsibilities, Mr. Czarnecki is an author who has written seven books on Leadership and Governance and writes a monthly column on nonprofit governance for a regional business magazine. Mr. Czarnecki holds a B.S. in Economics from Temple University, an M.A. in Economics from Michigan State University, is a Certified Public Accountant and has a Doctor of Humane Letters from National University. He is an NACD Board Leadership Fellow and holds the Carnegie Mellon, Software Engineering Institute, CERT Certificate in Cybersecurity Oversight.
Gerry is also the founder, Chairman & CEO of The National Leadership Institute, a not-for-profit organization committed to expanding research and development of leading edge ideas in leadership, governance, development, marketing, strategy and customer focused organizational development. This organization is dedicated to improving the quality of these activities in the notfor- profit/NGO community, and it provides robust training and educational programs in those techniques to qualified entities where the organization's capabilities need enhancement, but where funding is limited. He is also: a member of the Board of Trustees of National University, where he is its Chairman; Chairman Emeritus of the National Association of Corporate Directors—Florida Chapter, advisory board member for Private Capital, Inc.; the Board of Governors of Junior Achievement Worldwide, Inc., where he once served as its President & Chief Executive Officer.
