Program Overview

Directors serving their organizations have one common mission: protecting stakeholder’s interests. However, does exemplary governance mean different things within different types of legal structures and ownerships - public, private, and PE? 
High profile drama in publicly-traded board rooms is spotlighted prominently in business news routinely. But, how often do you hear about private, or not-for-profit, or PE firms? Does this dynamic signal that the very nature of governance in private, PE, and not-for-profits entities are fundamentally different? Are the skills required of directors widely different?  
This interactive discussion will cut through the governance myths and frame the imperatives toward advancing exemplary board leadership within these various types of entities.

Janet Hill

Mrs. Janet Hill is a principal in Hill Family Advisors, where she oversees the family’s assets and investments. She retired in 2010 as the co-owner and Vice President of Alexander & Associates, Incorporated, a corporate consulting firm in Washington, D.C after 30 years in management and ownership. She provided corporate planning, advice and analyses to directors, executives and managers in the areas of human resource planning, corporate responsibility, corporate communications and government consultation.

Mrs. Hill is a member of the Boards of Directors of Echo360, Inc.; Dean Foods, Inc.; Carlyle Group and Esquire Bank. Mrs. Hill is also a Vice President of Hill Ventures, Inc., her son’s real estate investment business. Mrs. Hill has served on four boards from which she retired at the time of the sale of the underlying companies: Sprint, Inc. (which was sold to Softbank); Tambrands, Inc. (which was sold to Proctor & Gamble); Security Capital Group, Inc. (which was sold to G.E. Capital); and Houghton Mifflin Company (which was sold to Vivendi International). She served on the board of The Wendy’s Company from 1994 until 2017. She served as a public member of the New York Cotton Exchange for 4 years ending in 1992.

Mrs. Hill is a member of the Board of Trustees of Duke University. She was appointed by President Obama as a member of the Board of Trustees of The John F. Kennedy Center for the Performing Arts. She is a commissioner of the Knight Commission on Intercollegiate Athletics. She is also a member of the board of the Wolf Trap Foundation for the Performing Arts.

Mrs. Hill is a past Vice President of the Wellesley College Alumnae Association and former Chair of the Women’s Campaign Fund, the only bipartisan national PAC raising money for women running for federal, state and local offices.

From 1978 until 1981, Mrs. Hill was the Special Assistant to the Secretary of the Army. She advised the Secretary on specific positions prior to policy decisions; formulated programs to improve and enhance soldier quality of life; prepared speeches for public presentation and testimony for Congressional hearings; served as a liaison to the office of the Secretary of Defense, the White House, the Congress and other government agencies; and prepared briefing and position papers on issues affecting soldiers, material readiness and operations and maintenance. ”ƒ

Prior to her work for the Army, Mrs. Hill was a scientist with a private consulting firm in the Washington, D.C. area. She was responsible for data analysis regarding ambient noise levels and shipping distributions; coordination and analysis of technical evaluations of noise levels in the perfection of sonar detection systems; design of ship movement models under contract to the U.S. Navy; the research and editing of environmental regional assessments in the Northeast Pacific and Northeast Atlantic for various Navy intelligence units; and the development of computer programs to evaluate data on Soviet submarine surveillance.

From 1974 until 1977, Mrs. Hill taught, in succession, high school, junior college and college mathematics. She conducted courses in algebra, trigonometry, calculus, linear algebra, topology and cross–disciplinary courses in mathematics and economics. She has taught in Chicago, Illinois; New Orleans, Louisiana; Dallas, Texas, and Honolulu, Hawaii.

Mrs. Hill was born in New Orleans, Louisiana. She attended Wellesley College in Wellesley, Massachusetts and graduated with a Bachelor of Arts in Mathematics in 1969. She attended the University of Chicago Graduate School and the Graduate School of Education and, in 1972, received a Masters of Arts in Mathematics.

Mrs. Hill is married to Calvin Hill who is an independent consultant to the Dallas Cowboys. Mr. Hill, former Vice President of the Baltimore Orioles, was a 14-year veteran in the National Football League. He is a graduate of Yale College, Class of 1969. He received a Bachelor of Arts in History. He also received the Honorary Degree, Doctor of Humane Letters, from Yale in 2016.

The Hills reside in Great Falls, Virginia, and are the parents of one son, Grant, age 44. Grant received a Bachelor of Arts in History from Duke University in 1994. In June 2013, he retired after 19 years as a professional athlete with the National Basketball Association. He is currently co-host of NBA Inside Stuff on NBATV and appears on other NBATV and TNT broadcasts of the NBA. He is a lead analyst on the CBS/Turner broadcast of the NCAA Final Four. He is a co-owner of the Atlanta Hawks of the NBA. He is also a managing partner of Asland Capital Partners, LLC. Formerly, he was a managing partner of Penta Mezzanine Fund. He is President of Hill Ventures, Inc. Grant’s wife, Tamia, is a 7-time, Grammy-nominated recording artist. They are the parents of Myla Grace and Lael Rose.

Ron Kaiser

Ron Kaiser has over 35 years of experience in public and private finance, accounting and operations management and has served as CFO or CEO for companies in information technology, life sciences and high tech manufacturing. Since 1981, he has served as CFO during six Initial Public Offerings which raised over $400 million on initial valuations totaling over $2.7 Billion and as an executive officer or director during the development of 15+ Companies, including Acquisitions and Sales of 13 companies for amounts totaling $2.8 Billion.

He has served as a board member, audit committee chair and other committee member for OPNET Technologies, Inc. (NASDAQ; OPNT) from 2003 through it’s sale to Riverbed in 2012; for Vocus Technologies, Inc. (NASDAQ:VOCS) from 2005 through its sale to GTCR in 2014; and, since 2008, for Tangoe, Inc. (NASADQ: TNGO). He also has served as a Board and Committee member for The NEAT COMPANY and for Acetylon Pharmaceuticals, private companies in software and drug discovery, respectively.

Ron served as a managing director of the Chesapeake Innovation Center (a Maryland incubator/accelerator serving Homeland and National Security) and as a Board member of the Annapolis Area Christian School, a K-12 private school in his home town of Annapolis, MD. He currently serves as Chairman of the Capital Area Chapter of the National Association of Corporate Directors (NACD).

Ron has been an instructor and seminar speaker (in over fifty professional society programs on internal control, C.O.S.O., operations, and IT security), a coach for the NVTC FastTrac program, and a regional and national panelist on IPO processes and public reporting. Ron was named in the January/February 1999 issue of Tech Capital magazine as one of one of the East Coast’s Top Ten CFOs and nominated three times as a MidAtlantic "CFO of the Year" (OTG Software and Trusted Information Systems), receiving the "Community Service" award in 2001. In 2014, He awarded the Hall of Fame Award' by the NVTC and Regional Technology Counsels and in 2017, he was recognized by the greater Washington Association of CPA’s for his efforts in diversity expansion as a "Men Empowering Women" award nominee.

He is a Michigan native, holds degrees in Accounting and Social Science (Michigan State – 1977) and has lived with his wife Teresa in the Annapolis, Maryland area since 1995. Both Ron and Terre are active in their local church and involved in several local and international education related ministries.
